End User License Agreement (EULA)

This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (“Licensee” or “User”) and Matrix Chauffeured LLC (“Licensor,” “Company,” “we,” “us,” or “our”) governing your access to and use of the website at https://matrixwcs.com, web booking software, mobile interfaces, and digital communications (collectively, the “Software”).

By accessing, browsing, booking through, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not access or use the Software.

1. Grant of Limited License

Subject to your compliance with this Agreement, Matrix Chauffeured LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for personal or legitimate corporate travel management purposes to request quotes, make reservations, view booking status, and interact with our services.

2. Restrictions on Use

You agree that you will not:

  • Modify, reverse engineer, decompile, or disassemble any portion of the Software or underlying source code.
  • Use the Software for any unlawful purpose or to submit false, fraudulent, or deceptive booking requests.
  • Rent, lease, sublicense, resell, or commercially exploit the Software without explicit written permission from Matrix Chauffeured LLC.
  • Automatedly access, scrape, or extract data from the website or software using bots, spiders, or automated scripts.

3. Mobile Messaging & SMS Consent (10DLC / TCPA Terms)

When you submit your mobile phone number through our web booking software or verbally request SMS updates, your use of our communication software is governed by these messaging terms:

  • Scope of Communications: The Software utilizes SMS/MMS messaging strictly for transactional and operational notifications, including booking confirmations, vehicle dispatches, chauffeur status updates, and customer support inquiries.
  • Message Frequency: Message frequency varies based on your active reservations and interaction frequency with our booking systems.
  • Rates & Charges: Standard message and data rates may apply as determined by your wireless carrier.
  • Opt-Out (STOP): You may opt out of receiving automated text messages at any time by replying STOP to any message received.
  • Help & Support (HELP): Reply HELP to any message for support or visit https://matrixwcs.com/contact/.
  • Strict Non-Sharing Clause: No mobile information will be shared with third parties/affiliates for marketing or promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

4. Privacy & Data Collection

5. Intellectual Property

All content, design, software, trademarks, service marks, logos, and features contained within the Software are the exclusive intellectual property of Matrix Chauffeured LLC and its licensors. Unapproved use of any proprietary materials is strictly prohibited.

6. Disclaimer of Warranties & Limitation of Liability

  • The Software is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied. Matrix Chauffeured LLC does not guarantee uninterrupted or error-free operation of the Software.
  • To the fullest extent permitted by law, Matrix Chauffeured LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use or inability to use the Software.

7. Termination

This Agreement is effective until terminated. Matrix Chauffeured LLC reserves the right to terminate or suspend your access to the Software immediately, without prior notice, if you violate any provision of this Agreement.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
